Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Multi-Flow Inc ("we," "us") governing your use of the Tax Drag Calculator and related services (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years old.

2. What the Service Is — and Is Not

The Service is an educational and informational tool. It produces planning-grade estimates and generalized strategy screening based on the information you enter and stated simplifying assumptions. It is not tax, legal, accounting, investment, or financial advice, and it is not a substitute for advice from a qualified professional who knows your complete situation.

No professional relationship. Use of the Service does not create a CPA-client, accountant-client, advisory, fiduciary, or any other professional relationship between you and Multi-Flow Inc, its owners, or any affiliated firm or individual, regardless of any professional licenses they may hold. No communication through the Service constitutes professional advice.

Verify before acting. Tax outcomes depend on facts, documentation, elections, deadlines, and law that this tool cannot fully evaluate. You agree to verify any output with a qualified professional before making decisions or implementing any strategy. Estimates are based on federal parameters for the stated tax year; state tax is reflected only as the flat rate you enter, and strategy recommendations do not account for state-specific treatment, conformity, or elections. Law changes, and results are not guaranteed to reflect current law at the time you read them.

3. Accounts

You are responsible for the accuracy of information you enter, for maintaining access to the email address used for sign-in, and for all activity under your account. We may suspend or terminate accounts that violate these Terms.

4. Purchases and Refunds

Certain features require a one-time payment, processed by Stripe. Prices are shown at checkout and may change for future purchases. Because the paid analysis is delivered digitally and immediately, purchases are generally non-refundable once the full analysis has been unlocked, except as provided by the Implementation Guarantee below; if you believe a billing error occurred, contact us at support@multiflowinc.com and we will review in good faith. Purchasing does not create any ongoing professional engagement.

Implementation Guarantee. We stand behind the analysis. You are eligible for the Implementation Guarantee if all of the following are true: (a) you purchased the full analysis and answered every intake question truthfully, accurately, and completely; (b) within 90 days of purchase, you presented the full analysis to a licensed tax professional of your choice (CPA, EA, or tax attorney) engaged by you; (c) that professional concluded that none of the primary strategies identified in your analysis provides any benefit to you specifically because it cannot be implemented for your situation — primary strategies are those revealed at 80%+ likelihood; Watch List items are expressly excluded; and (d) you notify us at support@multiflowinc.com within the 90-day window and provide your professional's contact information.

Upon an eligible request, we will schedule a single joint video conference with you and your professional to walk through the analysis, its inputs, and its stated assumptions. This session is product support for the analysis you purchased — it is provided to clarify how the tool reached its output; it is not tax advice, it is not a professional consultation, and it does not create any professional relationship with you or your professional. If, following that session, none of the primary strategies provides any benefit because none can be implemented for your situation, we will refund your purchase price minus non-recoverable payment processing fees. For clarity: the Guarantee does not apply if any single primary strategy can be implemented with benefit, in whole or in part.

The Guarantee does not apply where: inputs were inaccurate or incomplete, including the fact-check screening questions; strategies can be implemented but you or your professional choose not to implement them (for cost, preference, timing, or risk-tolerance reasons); strategies were already in place; only Watch List items are at issue; your facts or the law changed after purchase; or you decline the joint session. One Guarantee request per purchase. This Guarantee is your exclusive refund remedy for claims that the analysis was not implementable.

5. Acceptable Use

You may use the Service and its output for your own personal and internal business planning. You may not: resell, redistribute, or provide the Service or its output to third parties as a service; copy, scrape, decompile, reverse engineer, or attempt to extract the Service's underlying calculations, logic, or strategy library; use automated means to access the Service; misrepresent output as professional advice; or use the Service in violation of law. The Service's software, calculations, strategy library, content, and branding are the property of Multi-Flow Inc, protected by intellectual-property and trade-secret law. White-label and firm licensing are available only under a separate written agreement.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUT IS ACCURATE, COMPLETE, OR CURRENT, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY ESTIMATED SAVINGS WILL BE REALIZED. DOLLAR FIGURES SHOWN IN MARKETING ARE ILLUSTRATIVE EXAMPLES ONLY.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MULTI-FLOW INC AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SAVINGS, TAX LIABILITIES, PENALTIES, OR INTEREST, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the smallest amount permitted by law.

8. Indemnification

You agree to indemnify and hold harmless Multi-Flow Inc from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service, violation of these Terms, or decisions made or actions taken in reliance on output without professional verification.

9. Changes to the Service and Terms

We may modify or discontinue the Service, and may update these Terms by posting a revised version with a new effective date. Continued use after changes take effect constitutes acceptance.

10. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Tennessee, and you consent to their jurisdiction.
